1. Acceptance
By accessing or using VERA (including its Slack interface and client dashboard), you agree to these Terms. If you are accessing VERA on behalf of an agency, you represent that you have authority to bind that agency to these Terms.
If you do not agree, do not use VERA.
2. What VERA is
VERA is a Slack-based time tracking and project management service for professional services agencies. It is provided on a per-agency basis. Each agency's data is isolated from all others.
3. Permitted use
You may use VERA solely for your agency's internal time tracking, project management, and financial reporting purposes.
You may not:
- Use VERA to process data on behalf of any party other than your own agency
- Attempt to access another agency's data or the underlying infrastructure
- Reverse engineer, decompile, or attempt to extract VERA's source code
- Resell, sublicence, or provide access to VERA as a service to third parties
- Use VERA in any way that violates applicable law
4. Agency administrator responsibilities
The agency administrator who connects VERA to their Slack workspace is responsible for:
- Ensuring all team members are informed that their Slack interactions with VERA are processed and stored
- Managing user access and deactivating users who leave the agency
- Keeping Google service account credentials secure and rotating them if compromised
- Complying with applicable data protection laws (including GDPR, UK GDPR, or CCPA as applicable) with respect to employee data processed through VERA
5. Intellectual property
VERA, including all source code, documentation, and associated materials, is the proprietary property of talktalkmake. No rights are transferred to you by accessing the service. The full licence terms are in the LICENSE file in the VERA repository.
Your data (time entries, project records, and other content you submit through VERA) remains your property. talktalkmake does not claim ownership of your data.
6. Third-party services
VERA relies on third-party services including Anthropic (AI processing), Google (data storage), Railway (hosting), and Slack (messaging). Your use of VERA is subject to their respective terms of service in addition to these Terms. talktalkmake is not responsible for the availability, accuracy, or conduct of these services.
7. No warranties
VERA is provided "as is" and "as available" without warranty of any kind, express or implied. talktalkmake does not warrant that VERA will be error-free, uninterrupted, or suitable for any particular purpose.
8. Limitation of liability
To the maximum extent permitted by applicable law, talktalkmake's total liability arising from or related to your use of VERA is limited to the amounts paid by your agency in the 12 months preceding the claim. talktalkmake is not liable for indirect, incidental, special, consequential, or punitive damages.
9. Termination
talktalkmake may suspend or terminate your access to VERA at any time, with or without notice, if you breach these Terms or if the service is discontinued. You may stop using VERA at any time. Sections 5, 7, 8, and 10 survive termination.
10. Governing law
These Terms are governed by the laws of Maryland, United States, without regard to conflict of law principles.
11. Changes
talktalkmake may update these Terms from time to time. The "Last updated" date at the top of this page reflects when the Terms were last revised. Continued use of VERA after a change constitutes acceptance of the updated Terms.
